Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and LinkWrangler Pty Ltd (ACN 694 414 152, ABN 38 694 414 152) ("LinkWrangler," "we," "us," or "our") governing your access to and use of the LinkWrangler platform and services.

IMPORTANT: By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.


1. Definitions

"Aggregated Data" means data that has been anonymized, de-identified, and combined with other data such that no specific customer, product, individual, or entity can be identified.

"Customer Data" means all data, content, and materials uploaded, submitted, or transmitted by you to the Service, including but not limited to product data, GTINs, serial numbers, batch numbers, logos, images, and redirection rules.

"Fees" means the subscription fees and any other charges payable by you for use of the Service as set forth in your selected subscription tier.

"GS1 Digital Link" means a web URI that incorporates GS1 identification keys and can be used in various data carriers including QR codes.

"Raw Scan Logs" means the unprocessed data collected when an end-user scans a GS1 Digital Link QR code, including timestamp, location data, device information, and data contained within the QR code.

"Service" means the LinkWrangler SaaS platform for managing GS1 Digital Links, configuring redirection logic, and analyzing supply chain data, including all software, applications, tools, features, and related services provided by LinkWrangler.

"Third-Party Providers" means third-party service providers used by LinkWrangler to deliver the Service, including but not limited to Stripe, Railway, Vercel, Loop.so, Google Analytics, and other subprocessors.

"Tier" means your selected subscription plan level with associated features, scan limits, product limits, and pricing.


2. Service Description and Scope

2.1 Nature of Service

LinkWrangler provides a B2B SaaS platform for:

  • Managing and configuring GS1 Digital Link QR codes
  • Creating customized redirection logic based on scan data
  • Collecting and analyzing scan event data and supply chain analytics
  • Providing post-production data insights and reporting

2.2 Business Use Only

The Service is intended solely for business use. You warrant that you are acquiring the Service for business purposes and not as a consumer. You acknowledge that certain consumer protections under Australian Consumer Law may not apply to business-to-business transactions.

2.3 No Authentication or Verification Guarantee

CRITICAL LIMITATION: The Service provides data analytics, probability-based indicators, and statistical insights. LinkWrangler does NOT:

  • Verify, authenticate, or guarantee the genuineness, authenticity, provenance, or safety of any products
  • Control or influence manufacturing processes, printing hardware, or physical production
  • Provide legal verification suitable for enforcement actions
  • Guarantee the accuracy of any "counterfeit alerts," "grey market indicators," or similar data insights

2.4 Research and Advisory Tool Only

You acknowledge and agree that:

  • All analytics, reports, and indicators provided by the Service are for research, informational, and advisory purposes only
  • You must conduct independent verification before taking any legal, enforcement, or business actions based on Service data
  • LinkWrangler is not liable for any actions you take based on data provided by the Service, including but not limited to: seizing inventory, destroying goods, initiating legal proceedings, terminating business relationships, or issuing public statements

2.5 Post-Production Service

You acknowledge that LinkWrangler operates as a post-production analytics platform. We have no control over, and accept no responsibility for:

  • The printing or application of QR codes to physical products
  • The quality, accuracy, or placement of physical QR codes
  • Manufacturing processes or supply chain operations
  • Physical product handling, storage, or distribution

3. Account Registration and Management

3.1 Account Creation

To use the Service, you must:

  • Provide accurate, current, and complete registration information
  • Be at least 18 years of age or the age of majority in your jurisdiction
  • Have the legal authority to bind the entity on whose behalf you are registering
  • Maintain and promptly update your account information

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account, whether authorized or unauthorized
  • Notifying LinkWrangler immediately of any unauthorized access or security breach
  • Implementing appropriate security measures for your team's access to the Service

3.3 Multi-User Accounts and Roles

The Service supports multiple users per account with different permission levels (Owner, Admin, Editor, Viewer):

Authority to Bind:

  • Only users with Owner or Admin roles have the authority to:
    • Modify subscription plans or billing information
    • Accept updates to these Terms
    • Add or remove users and assign roles
    • Make legally binding commitments on behalf of the account

Liability for User Actions:

  • You are solely responsible for all actions taken by any user associated with your account, regardless of their role or whether the action was authorized
  • LinkWrangler has no liability for unauthorized actions by your team members, including actions by:
    • Former employees who retain access due to your failure to remove them
    • Users whose permissions exceed their intended authority
    • Compromised user accounts resulting from weak passwords or shared credentials
  • You must promptly remove access for any user who leaves your organization or no longer requires access

3.4 Account Suspension

We reserve the right to suspend or terminate user accounts if we reasonably believe the account has been compromised or is being used in violation of these Terms.


4. Customer Responsibilities

4.1 The "Conduit" Principle

CRITICAL UNDERSTANDING: LinkWrangler operates solely as a technical infrastructure provider and data conduit. We provide the tools for you to create redirection rules; we do not control, review, or approve the content to which you redirect end-users.

4.2 Sole Responsibility for Destination Content

You are solely and exclusively responsible for:

  • The accuracy, legality, safety, appropriateness, and availability of all destination URLs and content served to end-users
  • Ensuring all redirected content complies with applicable laws in all jurisdictions where it may be accessed
  • The security and safety of destination websites (e.g., protection against malware, phishing, viruses)
  • Maintaining functional links and addressing broken or outdated URLs
  • Compliance with accessibility standards and consumer protection laws
  • Age-appropriate content and age verification where legally required

4.3 No Duty to Monitor

LinkWrangler has:

  • No obligation to vet, review, monitor, or approve the content to which your rules redirect end-users
  • No liability for malicious content, illegal content, infringing content, or content that violates local laws
  • No responsibility for broken links, expired content, or unavailable destinations
  • No duty to verify compliance with industry-specific regulations (pharmaceuticals, medical devices, food safety, etc.)

4.4 Configuration Accuracy

You accept full responsibility for:

  • The configuration, logic, and accuracy of your redirection rules
  • Errors in your configuration that result in incorrect content being served to specific user groups or locations
  • Testing your rules before deployment to ensure proper functionality
  • Consequences of misconfiguration, including but not limited to: serving allergen information to the wrong audience, directing users to incorrect safety instructions, or providing wrong product information

Example Scenarios You Are Responsible For:

  • A user with peanut allergies is directed to generic product information instead of allergen-specific warnings due to incorrect rule configuration
  • A recall notice is not displayed to affected batch numbers due to configuration errors
  • Regional-specific content (e.g., language, regulations) is incorrectly served based on faulty location rules

4.5 Compliance with Laws and Regulations

You warrant and covenant that your use of the Service complies with:

  • All applicable local, state, national, and international laws and regulations
  • Industry-specific regulations applicable to your products (food safety, pharmaceutical regulations, medical device standards, consumer protection laws, etc.)
  • Data protection and privacy laws (including obtaining necessary consents for data collection)
  • Export control laws and economic sanctions
  • Advertising and marketing regulations
  • Intellectual property laws

4.6 GS1 Standards

You represent that you have the necessary rights and licenses to use any GS1 identification keys (GTINs, Serial Numbers, etc.) included in your QR codes and Customer Data. LinkWrangler does not verify GS1 licensing compliance.


5. Acceptable Use Policy

5.1 Prohibited Uses

You may NOT use the Service to:

Illegal Activities:

  • Engage in any illegal activity or facilitate violation of any law
  • Redirect to websites hosting illegal content
  • Promote, distribute, or facilitate the sale of illegal drugs, controlled substances, or prescription medications without proper licensing
  • Engage in money laundering, fraud, or other financial crimes

Harmful Content:

  • Distribute malware, viruses, ransomware, spyware, or other malicious code
  • Host or redirect to phishing websites or social engineering attacks
  • Create spam, unsolicited commercial messages, or fraudulent schemes
  • Distribute child sexual abuse material or content exploiting minors

Intellectual Property Violations:

  • Infringe copyrights, trademarks, patents, trade secrets, or other intellectual property rights
  • Impersonate other brands, companies, or individuals
  • Use the Service to distribute counterfeit goods or facilitate trademark infringement
  • Upload Customer Data containing third-party intellectual property without authorization

Offensive and Inappropriate Content:

  • Redirect to content that is defamatory, libelous, hateful, or discriminatory
  • Distribute obscene or excessively violent content without appropriate warnings and age verification
  • Promote self-harm, suicide, eating disorders, or dangerous activities
  • Harass, threaten, stalk, or abuse individuals

Restricted Industries (Without Proper Licensing):

  • Adult content or services (pornography, escort services)
  • Gambling, betting, or games of chance
  • Weapons, firearms, explosives, or ammunition
  • Tobacco products or electronic cigarettes
  • Controlled substances, illegal drugs, or prescription medications
  • Securities, cryptocurrency schemes, or unregistered financial products

Platform Abuse:

  • Attempt to gain unauthorized access to the Service or related systems
  • Reverse engineer, decompile, disassemble, or derive source code from the Service
  • Use automated tools to scrape, harvest, or extract data from the Service without authorization
  • Interfere with or disrupt the integrity or performance of the Service
  • Bypass any measures we use to restrict access or enforce usage limits
  • Use the Service as a general-purpose URL shortener unrelated to GS1 Digital Links
  • Resell or redistribute the Service without written authorization
  • Use the Service in a manner that exceeds reasonable fair use standards

5.2 Monitoring and Enforcement

While we have no obligation to monitor your use of the Service, we reserve the right to:

  • Investigate suspected violations of this Acceptable Use Policy
  • Remove or disable access to content that violates these Terms
  • Suspend or terminate accounts that violate these Terms
  • Cooperate with law enforcement investigations
  • Disclose information as required by law or court order

5.3 Reporting Violations

If you become aware of any violation of this Acceptable Use Policy, please report it to: privacy@linkwrangler.com


6. Data Ownership, Rights, and Privacy

6.1 Customer Data Ownership

You retain all ownership rights, title, and interest in and to your Customer Data, including:

  • Product data (GTINs, serial numbers, batch numbers, product descriptions)
  • Raw Scan Logs generated from your QR codes
  • Logos, images, branding materials, and marketing content
  • All other data, content, and materials you upload to the Service

6.2 License to LinkWrangler

You grant LinkWrangler a limited, non-exclusive, worldwide, royalty-free license to:

  • Use, copy, store, and process Customer Data solely to provide the Service to you
  • Display Customer Data within your account and to authorized users
  • Perform technical operations necessary for Service functionality (hosting, backup, disaster recovery)
  • Comply with legal obligations and enforce these Terms

This license terminates when you delete Customer Data or your account is terminated, except as necessary to comply with legal obligations or as set forth in Section 6.3.

6.3 Aggregated Data License

You grant LinkWrangler a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to:

  • Anonymize and de-identify Customer Data
  • Combine your anonymized data with data from other customers to create Aggregated Data
  • Use, copy, modify, distribute, and create derivative works from Aggregated Data
  • Publicly disclose Aggregated Data in reports, case studies, benchmarks, marketing materials, and industry analyses

Key Protections:

  • Aggregated Data will never identify you, your specific products, your customers, or any individual
  • LinkWrangler owns all rights to Aggregated Data
  • This license survives termination of these Terms
  • You waive any right to compensation for use of Aggregated Data

Example Uses of Aggregated Data:

  • "QR code scans in the beverage industry increased 45% year-over-year"
  • "Grey market activity is most prevalent in consumer electronics categories"
  • "Average scan-to-purchase time in retail is 3.2 minutes"

6.4 LinkWrangler Intellectual Property

LinkWrangler retains all ownership rights to:

  • The Service software, code, algorithms, and architecture
  • User interfaces, designs, and visual elements
  • Documentation, training materials, and support content
  • "LinkWrangler" trademarks, service marks, logos, and branding
  • All improvements, updates, and derivative works of the Service

You receive no ownership rights in LinkWrangler's intellectual property. You may not:

  • Use LinkWrangler trademarks without prior written consent
  • Remove or obscure copyright, trademark, or proprietary notices
  • Create derivative works based on the Service
  • Claim ownership of any LinkWrangler intellectual property

6.5 Feedback and Suggestions

If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant LinkWrangler an unrestricted, perpetual, irrevocable, worldwide, royalty-free right to use, implement, modify, and commercialize the Feedback without attribution or compensation.

6.6 Privacy and Data Protection

LinkWrangler processes personal data in accordance with our Privacy Policy available at [INSERT PRIVACY POLICY URL]. You acknowledge that:

  • You have read and understood the Privacy Policy
  • You have obtained all necessary consents and authorizations to allow LinkWrangler to collect and process scan data from end-users
  • You are responsible for compliance with applicable privacy and data protection laws in your use of the Service
  • You will provide appropriate privacy notices to end-users whose data is collected through QR code scans

7. Fees, Payment Terms, and Usage Limits

7.1 Subscription Tiers

The Service is offered in subscription Tiers with different features, limits, and pricing:

  • Each Tier includes a monthly scan limit and, for certain Tiers, a product limit
  • Current Tier details and pricing are available on our website at www.linkwrangler.com/pricing
  • We reserve the right to modify Tier features and pricing with notice as set forth in Section 16

7.2 Billing and Payment

Payment Terms:

  • Fees are billed in advance on a monthly or annual basis depending on your selected billing cycle
  • All Fees are in Australian Dollars (AUD) unless otherwise specified
  • Payment is due immediately upon invoice issuance
  • We use Stripe as our payment processor; you must provide valid payment information to Stripe
  • LinkWrangler does not store credit card information

Automatic Renewal:

  • Your subscription automatically renews at the end of each billing period unless you cancel
  • Renewal Fees will be charged to your payment method on file
  • You may cancel automatic renewal at any time through your account settings

Failed Payments:

  • If payment fails, you will receive a notification
  • You have a 7-day grace period to rectify the failed payment
  • If payment is not received within 7 days, LinkWrangler may suspend or terminate your account
  • Suspended accounts may have limited functionality until payment is resolved

7.3 Scan Limits and Enforcement

Monthly Scan Limits:

  • Each Tier includes a specified number of scans per monthly billing cycle
  • Scans are counted when an end-user scans a GS1 Digital Link QR code associated with your account
  • Scan counts reset at the beginning of each billing cycle

Limit Enforcement: If you exceed your Tier's scan limit, LinkWrangler reserves the right to:

  • Prompt you to upgrade to a higher Tier
  • Suspend data processing for new scans until you upgrade or the billing cycle resets
  • Temporarily pause scan functionality with notification to you

No Automatic Overage Charges:

  • We will NOT charge automatic overage fees without your explicit consent
  • If overages are available for your Tier, we will notify you and obtain consent before charging

7.4 Product Limits

Certain Tiers include limits on the number of products (unique GTINs or SKUs) you can manage:

  • Product limits are enforced at the account level
  • You may not exceed your product limit without upgrading to a higher Tier
  • LinkWrangler may prevent addition of new products if you reach your limit

7.5 Upgrades and Downgrades

Upgrades:

  • You may upgrade your Tier at any time through your account settings
  • Upgrades take effect immediately
  • You will be charged the prorated difference for the remainder of the current billing cycle

Downgrades:

  • You may downgrade your Tier at any time
  • Downgrades take effect at the start of your next billing cycle
  • If your current usage (scans or products) exceeds the limits of the lower Tier, you must reduce usage before the downgrade takes effect

7.6 Taxes

All Fees are exclusive of taxes, duties, and levies. You are responsible for:

  • All applicable sales, use, GST, VAT, and other taxes
  • Any withholding tax obligations in your jurisdiction
  • Providing accurate tax information and exemption certificates where applicable

LinkWrangler will charge and collect taxes as required by applicable law.

7.7 No Refunds

General Policy:

  • Fees are non-refundable except as expressly provided in these Terms or required by law
  • No refunds are provided for:
    • Partial months or unused portions of your subscription
    • Downgraded Tiers
    • Terminated accounts (except where termination is due to LinkWrangler's material breach)

Exception:

  • If LinkWrangler materially breaches these Terms and fails to cure within 30 days of written notice, you may terminate and receive a prorated refund for unused Services

7.8 Billing Disputes

Dispute Resolution:

  • Usage records and billing calculations generated by LinkWrangler's systems are final and binding unless proven to be materially incorrect
  • Any billing disputes must be raised within 14 days of the invoice date
  • Disputes raised after 14 days will not be considered
  • To dispute a charge, email: accounts@linkwrangler.com with:
    • Invoice number and date
    • Detailed explanation of the dispute
    • Supporting documentation

Investigation:

  • We will investigate all timely disputes in good faith
  • During investigation, you remain obligated to pay any undisputed amounts
  • If a dispute is resolved in your favor, we will issue a credit or refund as appropriate

7.9 Late Payments

If payment is overdue beyond the 7-day grace period:

  • We may charge interest on overdue amounts at the rate of 1.5% per month (or the maximum rate permitted by law, whichever is lower)
  • You will be responsible for all reasonable costs of collection, including legal fees
  • We may report late payments to credit reporting agencies

8. Service Availability and Support

8.1 Uptime Target

LinkWrangler will use commercially reasonable efforts to maintain 99.9% availability of the Service, measured monthly.

Important Limitations:

  • This is a target, not a guarantee
  • No financial credits, refunds, or service level agreements (SLAs) are provided for downtime
  • Availability is calculated excluding scheduled maintenance and Force Majeure events

8.2 "As Is" Service Provision

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. You acknowledge and accept that:

  • The Service may experience interruptions, errors, or downtime
  • We do not guarantee uninterrupted, timely, secure, or error-free operation
  • We do not warrant that defects will be corrected
  • You use the Service at your own risk

8.3 Third-Party Provider Dependencies

The Service relies on Third-Party Providers including Stripe, Railway, Vercel, and others. LinkWrangler is NOT liable for:

  • Downtime, outages, or failures caused by Third-Party Providers
  • Loss of data due to Third-Party Provider failures
  • Security breaches originating from Third-Party Providers
  • Changes to Third-Party Provider terms, pricing, or availability

8.4 Scheduled Maintenance

We reserve the right to suspend the Service for scheduled maintenance:

  • We will provide reasonable advance notice where possible (typically 24-48 hours)
  • Emergency maintenance may be performed without advance notice
  • Scheduled maintenance windows are excluded from availability calculations

8.5 Beta Features and Experimental Products

The Service may include beta, experimental, or preview features ("Beta Features"):

  • Beta Features are provided "AS IS" with no warranties or guarantees
  • Beta Features may be modified, discontinued, or removed at any time without notice
  • No SLA or uptime target applies to Beta Features
  • Data stored in Beta Features may be lost without recovery
  • Use Beta Features at your own risk
  • We are not liable for any issues, data loss, or damages resulting from Beta Features

8.6 Support

Support Channels:

  • Support is provided via email at support@linkwrangler.com
  • Support hours and response times vary by Tier (details available at www.linkwrangler.com)
  • We will use commercially reasonable efforts to respond to support requests promptly

Support Limitations:

  • Support does not include training, consulting, or custom development
  • We are not obligated to resolve issues caused by:
    • Your misconfiguration or improper use
    • Third-Party Provider issues
    • Network or hardware problems on your end
    • Unauthorized modifications to the Service

9. Warranties and Disclaimers

9.1 Your Warranties

You represent and warrant that:

  • You have the legal authority to enter into these Terms and bind your organization
  • All information you provide is accurate, current, and complete
  • You own or have the necessary rights to all Customer Data you upload
  • Your use of the Service complies with all applicable laws and regulations
  • You have obtained all necessary consents to collect and process end-user data
  • You maintain adequate insurance coverage for your business operations
  • You will not use the Service in any manner that violates these Terms

9.2 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LINKWRANGLER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

Implied Warranties:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • TITLE
  • QUIET ENJOYMENT
  • ACCURACY OR RELIABILITY OF DATA

Specific Disclaimers:

  • No Data Accuracy Guarantee: We do not warrant the accuracy, completeness, reliability, or timeliness of any data, analytics, reports, or insights provided by the Service
  • No Location Accuracy Guarantee: GPS and location data may be inaccurate, delayed, or unavailable due to device limitations, network issues, or environmental factors
  • No Third-Party Integration Guarantee: We do not warrant compatibility with third-party services, APIs, or platforms
  • No Compliance Guarantee: We do not warrant that the Service complies with industry-specific regulations applicable to your business (pharmaceuticals, medical devices, food safety, etc.)
  • No Continuous Availability: We do not warrant uninterrupted or error-free Service

9.3 Australian Consumer Law

For Business Customers: If you acquire the Service for business purposes, to the extent permitted by the Competition and Consumer Act 2010 (Cth) and Australian Consumer Law, our liability for breach of any non-excludable consumer guarantee is limited to, at our option:

  • Re-supply of the Service
  • Payment of the cost of having the Service re-supplied
  • Refund of Fees paid for the defective Service

For Consumer Customers: If Australian Consumer Law classifies you as a consumer (despite Section 2.2), certain statutory guarantees cannot be excluded. Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy that cannot be lawfully excluded.


10. Limitation of Liability

10.1 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LINKWRANGLER'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE IS LIMITED TO THE TOTAL FEES PAID BY YOU TO LINKWRANGLER IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

This cap applies regardless of:

  • The legal theory of liability (contract, tort, negligence, strict liability, statute, or otherwise)
  • Whether LinkWrangler was advised of the possibility of such damages
  • Whether the limited remedy fails of its essential purpose

10.2 Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LINKWRANGLER BE LIABLE FOR:

Indirect and Consequential Losses:

  • Lost profits, revenue, or sales
  • Loss of business or business opportunities
  • Loss of production or manufacturing downtime
  • Cost of factory shutdowns or delays
  • Cost of product recalls, destructions, or seizures
  • Business interruption or operational delays
  • Loss of goodwill or reputation
  • Reputational damage or brand harm
  • Loss of data (except as expressly provided in Section 10.3)
  • Cost of substitute goods or services
  • Loss of anticipated savings
  • Wasted expenditure or opportunity costs

Specific Exclusions Related to Your Use:

  • Damages arising from your reliance on Service data for enforcement actions (product seizures, legal proceedings, etc.)
  • Damages arising from misconfigured redirection rules or incorrect content served to end-users
  • Damages arising from Third-Party Provider failures or service interruptions
  • Damages arising from your failure to maintain backups of Customer Data
  • Damages arising from unauthorized access to your account due to weak passwords or failure to remove former employees
  • Damages arising from end-user lawsuits or regulatory actions related to destination content

10.3 Data Loss

LinkWrangler is not liable for loss of Customer Data except in cases of gross negligence or willful misconduct. You are solely responsible for:

  • Maintaining independent backups of all Customer Data
  • Exporting data before account termination
  • Ensuring data recoverability from your own systems

10.4 Allocation of Risk

You acknowledge and agree that:

  • The Fees reflect the allocation of risk set forth in these Terms
  • The limitations of liability are fundamental elements of the bargain between you and LinkWrangler
  • LinkWrangler would not provide the Service without these limitations
  • These limitations apply even if a limited remedy fails of its essential purpose

10.5 Exceptions to Limitations

The limitations in this Section 10 do NOT apply to:

  • Liability that cannot be excluded or limited under applicable law
  • Breaches of Section 6 (Data Ownership and Rights)
  • Your indemnification obligations under Section 11
  • Liability arising from fraud, willful misconduct, or gross negligence by LinkWrangler
  • Death or personal injury caused by LinkWrangler's negligence

11. Indemnification

11.1 Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless LinkWrangler, its affiliates, and their respective officers, directors, employees, agents, and representatives from and against any and all third-party claims, demands, actions, damages, losses, costs, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

Your Content and Configuration:

  • Customer Data you upload, including claims of intellectual property infringement, defamation, or privacy violations
  • Destination content to which you redirect end-users (websites, applications, materials)
  • Your configuration of redirection rules, including misconfiguration that causes harm to end-users
  • Broken, malicious, or illegal destination URLs

Your Use of the Service:

  • Your violation of these Terms, including the Acceptable Use Policy
  • Your violation of any applicable laws, regulations, or third-party rights
  • Your failure to obtain necessary consents for data collection from end-users
  • Your failure to comply with industry-specific regulations (pharmaceuticals, medical devices, food safety, etc.)

Your Business Operations:

  • Claims by end-users related to product safety, quality, labeling, or advertising
  • Product recalls, quality issues, or manufacturing defects
  • Regulatory enforcement actions related to your products or business practices
  • Actions taken by you based on Service data (product seizures, legal proceedings, terminations of business relationships)

Your Account and Users:

  • Actions taken by any user associated with your account, whether authorized or unauthorized
  • Your failure to remove access for former employees or unauthorized users
  • Security breaches resulting from compromised credentials under your control

11.2 Indemnification Process

Notice:

  • LinkWrangler will notify you promptly of any claim subject to indemnification
  • Failure to provide timely notice does not relieve your indemnification obligations except to the extent you are materially prejudiced

Control:

  • You will have the right to control the defense and settlement of any indemnified claim
  • LinkWrangler may participate in the defense with counsel of its choice at its own expense
  • You may not settle any claim in a manner that admits fault on behalf of LinkWrangler or imposes obligations on LinkWrangler without our prior written consent

Cooperation:

  • LinkWrangler will provide reasonable cooperation in the defense of any claim
  • You will reimburse LinkWrangler for reasonable costs incurred in providing cooperation

11.3 LinkWrangler Indemnification

LinkWrangler will indemnify you against third-party claims that the Service, as provided by LinkWrangler, infringes a third party's intellectual property rights, provided that:

  • You notify LinkWrangler promptly of the claim
  • LinkWrangler has sole control over the defense and settlement
  • You provide reasonable cooperation

LinkWrangler's Remedies: If an infringement claim occurs or is likely, LinkWrangler may, at its option:

  • Obtain the right for you to continue using the Service
  • Modify the Service to make it non-infringing
  • Replace the Service with a non-infringing alternative
  • Terminate the Service and refund prorated Fees for the unused portion

Exclusions: LinkWrangler has no indemnification obligation for claims arising from:

  • Your modification of the Service
  • Your combination of the Service with third-party products or services
  • Your use of the Service in violation of these Terms
  • Customer Data or destination content you provide

12. Confidentiality

12.1 Confidential Information

"Confidential Information" means non-public information disclosed by one party ("Disclosing Party") to the other party ("Receiving Party") that:

  • Is marked as confidential or proprietary
  • Would reasonably be understood to be confidential given the nature of the information and circumstances of disclosure

Examples:

  • LinkWrangler Confidential Information: Service architecture, pricing structures, business strategies, trade secrets
  • Your Confidential Information: Customer Data, business strategies, pricing information, proprietary processes

12.2 Obligations

The Receiving Party agrees to:

  • Hold Confidential Information in strict confidence
  • Not disclose Confidential Information to third parties except as permitted in these Terms
  • Use Confidential Information only for purposes of performing these Terms
  • Protect Confidential Information with the same degree of care used to protect its own confidential information, but no less than reasonable care

12.3 Permitted Disclosures

The Receiving Party may disclose Confidential Information:

  • To employees, contractors, and agents who have a legitimate need to know and are bound by confidentiality obligations
  • To Third-Party Providers solely to the extent necessary to provide the Service
  • As required by law, regulation, or court order (with prior notice to the Disclosing Party where legally permissible)

12.4 Exclusions

Confidential Information does not include information that:

  • Is or becomes publicly available through no breach by the Receiving Party
  • Was rightfully possessed by the Receiving Party before disclosure
  • Is independently developed by the Receiving Party without use of Confidential Information
  • Is rightfully received from a third party without confidentiality obligations

12.5 Aggregated Data

For clarity, Aggregated Data as defined in Section 6.3 is not your Confidential Information and may be used and disclosed by LinkWrangler without restriction.


13. Term and Termination

13.1 Term

These Terms commence on the date you first access the Service and continue until terminated as set forth in this Section 13.

13.2 Termination by You

You may terminate these Terms at any time by:

  • Canceling your subscription through your account settings
  • Providing written notice to privacy@linkwrangler.com

Effect:

  • Termination takes effect at the end of your current billing cycle
  • You remain responsible for all Fees incurred through the end of the billing cycle
  • No refunds are provided for unused portions of your subscription

13.3 Termination by LinkWrangler for Cause

LinkWrangler may terminate these Terms immediately, without notice or cure period, if you:

Payment Violations:

  • Fail to pay Fees within the 7-day grace period
  • Provide fraudulent payment information or engage in payment disputes without basis

Acceptable Use Violations:

  • Use the Service to host, redirect to, or distribute illegal content
  • Use the Service to host, redirect to, or distribute malicious content (malware, viruses, phishing)
  • Violate the Acceptable Use Policy in a manner that poses immediate harm to LinkWrangler, other customers, or the public
  • Engage in fraud, impersonation, or other deceptive practices

Security Violations:

  • Attempt to gain unauthorized access to the Service or related systems
  • Reverse engineer, decompile, or attack the Service
  • Engage in any activity that threatens the security, integrity, or availability of the Service

Legal Requirements:

  • LinkWrangler is required by law or court order to terminate your access
  • Continued provision of Service would expose LinkWrangler to legal liability

13.4 Suspension by LinkWrangler

Discretionary Suspension: LinkWrangler may, in its sole discretion, suspend (rather than terminate) your account to allow you an opportunity to cure violations, including but not limited to:

  • Minor or inadvertent violations of the Acceptable Use Policy
  • Configuration issues that pose risk to end-users
  • Unusual activity that may indicate account compromise
  • Disputes regarding account ownership or authorization

Suspension Process:

  • Where reasonably practical, we will provide notice before suspension
  • We will specify the reason for suspension and steps required to reinstate
  • You will have a reasonable opportunity to cure the violation (typically 7-14 days depending on severity)
  • If the violation is cured to our satisfaction, we will reinstate your account

Immediate Suspension: We may suspend immediately without notice if:

  • We reasonably believe your account poses an immediate threat to the security or integrity of the Service
  • We detect illegal activity or content
  • We are required to do so by law enforcement or regulatory authorities

Effect of Suspension:

  • You will have limited or no access to the Service during suspension
  • Scan processing and redirection may be disabled
  • Fees continue to accrue during suspension unless otherwise agreed
  • Suspension does not relieve you of payment obligations

13.5 Effect of Termination

Upon termination or expiration of these Terms:

Immediate Effects:

  • Your right to access and use the Service immediately ceases
  • All user accounts associated with your organization are disabled
  • Scan processing and redirection functionality is disabled
  • QR codes associated with your account will cease to function

Data Handling:

  • You have 30 days from the termination date to export your Customer Data
  • After 30 days, LinkWrangler will automatically and permanently delete all Customer Data from production systems
  • Deleted data cannot be recovered
  • Data contained in backups will be retained until the natural backup rotation cycle expires (typically 90 days), after which it will be automatically deleted
  • LinkWrangler has no obligation to provide access to data in backups

Data Export:

  • During the 30-day period, you may export data through your account dashboard (if accessible)
  • For terminated accounts where dashboard access is unavailable, you may request a data export by emailing privacy@linkwrangler.com
  • We will provide data in commonly used formats (CSV, JSON)
  • You are responsible for exporting data within the 30-day period

Financial Obligations:

  • You remain responsible for all unpaid Fees incurred through the termination date
  • Any refunds or credits owed to you will be processed within 30 days

Survival: The following provisions survive termination:

  • Section 6.3 (Aggregated Data License)
  • Section 6.5 (Feedback)
  • Section 9.2 (Disclaimers)
  • Section 10 (Limitation of Liability)
  • Section 11 (Indemnification)
  • Section 12 (Confidentiality)
  • Section 15 (Dispute Resolution)
  • Section 17 (General Provisions)
  • Any other provisions that by their nature should survive

13.6 Termination Due to Changes

If you do not agree to material changes to these Terms as described in Section 16, you may terminate these Terms by providing written notice within 30 days of the change taking effect. Such termination will be treated as termination by you under Section 13.2.


14. Modifications to the Service

14.1 Right to Modify

LinkWrangler reserves the right to modify, update, enhance, or discontinue any aspect of the Service at any time, including but not limited to:

  • Adding, removing, or modifying features and functionality
  • Changing user interface design or user experience
  • Updating software, APIs, or integrations
  • Modifying data collection, processing, or retention practices
  • Changing Third-Party Providers or subprocessors

14.2 Subprocessor Changes

We may change Third-Party Providers or add new subprocessors without prior notice if:

  • A subprocessor experiences an outage, security incident, or becomes unavailable
  • We identify a more reliable, secure, or cost-effective alternative
  • Business or technical requirements necessitate a change
  • A subprocessor changes its terms, pricing, or services in a manner incompatible with our operations

Examples:

  • Migrating from Railway to AWS for database hosting
  • Switching from Vercel to Cloudflare for application hosting
  • Adding new analytics or monitoring providers

You acknowledge that such changes may be necessary for Service continuity and agree to these changes without prior consent.

14.3 Feature Changes

General Feature Modifications:

  • We will use reasonable efforts to provide notice of significant feature changes through:
    • In-app notifications
    • Email announcements
    • Updates to our website or documentation
  • Minor changes, bug fixes, and routine updates may be made without notice

Discontinuation of Features:

  • We may discontinue features, including features you currently use
  • Where reasonably practical, we will provide at least 30 days' notice before discontinuing a material feature
  • No refunds or credits are provided for discontinued features
  • We have no obligation to develop alternative features or provide migration tools

14.4 Beta Features

As described in Section 8.5:

  • Beta Features may be modified, discontinued, or removed at any time without notice
  • No compensation is provided for changes to or discontinuation of Beta Features

14.5 No Obligation to Upgrade

You are not required to adopt new features or upgrades, but:

  • Some updates may be applied automatically to ensure security and Service integrity
  • Failure to use current versions may result in compatibility issues or reduced functionality
  • We may discontinue support for older versions at our discretion

15. Dispute Resolution and Governing Law

15.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Victoria, Australia, without regard to conflict of law principles.

The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.

15.2 Jurisdiction and Venue

Exclusive Jurisdiction: You and LinkWrangler irrevocably submit to the exclusive jurisdiction of the courts of Victoria, Australia, for the resolution of any dispute arising out of or related to these Terms or the Service.

Waiver of Objections: Each party waives any objection to venue in Victoria and any claim that such courts are an inconvenient forum.

15.3 Informal Dispute Resolution

Before initiating formal legal proceedings, the parties agree to attempt to resolve disputes informally:

  • The complaining party will provide written notice of the dispute to the other party
  • The notice must describe the dispute and the desired resolution in reasonable detail
  • The parties will negotiate in good faith for at least 30 days to attempt resolution
  • Either party may pursue formal proceedings if informal resolution is unsuccessful

15.4 Exceptions to Informal Resolution

Informal resolution is not required for:

  • Claims for injunctive or equitable relief to prevent irreparable harm
  • Intellectual property disputes
  • Collection of unpaid Fees
  • Violations of the Acceptable Use Policy requiring immediate action

15.5 Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE WITH LINKWRANGLER WILL BE RESOLVED ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION.

15.6 Time Limitation on Claims

Regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to these Terms or the Service must be filed within one (1) year after the claim or cause of action arose, or be forever barred.


16. Changes to These Terms

16.1 Right to Modify

LinkWrangler reserves the right to modify these Terms at any time. We will update the "Last Updated" date at the top of these Terms when changes are made.

16.2 Notice of Changes

Material Changes: For material changes that may directly impact customers (such as changes to fees, usage limits, data rights, or liability provisions), we will provide at least 7 days' advance notice by:

  • Email notification to the address associated with your account
  • Prominent notice in your account dashboard
  • Notice on our website

Non-Material Changes: For minor, administrative, or clarifying changes (such as updates to contact information, formatting, or legal citation updates), we may implement changes immediately without advance notice.

Immediate Changes: We may implement changes immediately without advance notice if:

  • Required by law, regulation, or court order
  • Necessary to address a security vulnerability or protect the Service
  • Related to adding or changing Third-Party Providers as described in Section 14.2
  • Required to prevent fraud or abuse

16.3 Acceptance of Changes

Implied Acceptance: Your continued use of the Service after the effective date of changes constitutes your acceptance of the modified Terms.

Checking for the Login Prompt: When you log in to the Service, you may be prompted to review and acknowledge updated Terms. This prompt serves as notice of material changes.

Rejection of Changes: If you do not agree to material changes:

  • You may terminate these Terms by providing written notice within 30 days of the change taking effect
  • Such termination will be effective at the end of your current billing cycle
  • You will not receive a refund for unused portions of your subscription unless the change constitutes a material reduction in Service that amounts to a breach by LinkWrangler

16.4 Your Responsibility to Review

You are responsible for:

  • Reviewing these Terms periodically for changes
  • Ensuring you understand the current Terms that govern your use
  • Reviewing email notifications and account dashboard notices

We recommend reviewing these Terms each time you log in or at least quarterly.


17. General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy and any other documents expressly incorporated by reference, constitute the entire agreement between you and LinkWrangler regarding the Service and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral.

17.2 Assignment

Your Assignment: You may not assign, transfer, delegate, or sublicense these Terms or any of your rights or obligations without LinkWrangler's prior written consent. Any attempted assignment in violation of this provision is void.

LinkWrangler's Assignment: LinkWrangler may assign these Terms, in whole or in part, without your consent:

  • To an affiliate or subsidiary
  • In connection with a merger, acquisition, corporate reorganization, or sale of substantially all assets
  • To any successor entity

Upon such assignment, the assignee will assume all of LinkWrangler's rights and obligations under these Terms.

17.3 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction:

  • The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable
  • If modification is not possible, the invalid provision will be severed from these Terms
  • The remaining provisions will continue in full force and effect
  • The invalidity of any provision will not affect the validity of the remaining provisions

17.4 Waiver

The failure of LinkWrangler to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of LinkWrangler.

A waiver of any breach or default does not constitute a waiver of any subsequent breach or default.

17.5 Force Majeure

LinkWrangler will not be liable for any failure or delay in performance under these Terms due to causes beyond its reasonable control, including but not limited to:

Natural Events:

  • Acts of God, earthquakes, floods, fires, storms, or other natural disasters
  • Pandemics, epidemics, or public health emergencies

Infrastructure Failures:

  • Internet outages or disruptions not caused by LinkWrangler
  • Telecommunications failures
  • Power outages or utility failures
  • Data center failures or unavailability

Third-Party Actions:

  • Acts of terrorism, war, or civil unrest
  • Government actions, including sanctions, embargoes, or regulatory changes
  • Strikes, labor disputes, or lockouts (not involving LinkWrangler employees)
  • Failures or outages by Third-Party Providers (Stripe, Railway, Vercel, etc.)

Cyber Events:

  • Distributed denial-of-service (DDoS) attacks
  • Large-scale cyber attacks affecting internet infrastructure

Relief: During a Force Majeure event:

  • LinkWrangler's obligations are suspended for the duration of the event
  • LinkWrangler will use reasonable efforts to minimize the impact and resume performance
  • Fees continue to accrue unless the Force Majeure event exceeds 30 consecutive days, in which case either party may terminate these Terms with written notice

17.6 Independent Contractors

You and LinkWrangler are independent contractors. These Terms do not create a partnership, joint venture, agency, franchise, employment, or fiduciary relationship. Neither party has authority to bind the other or incur obligations on behalf of the other.

17.7 Third-Party Beneficiaries

These Terms are for the sole benefit of you and LinkWrangler. No third party (including Third-Party Providers, end-users, or other customers) has any right to enforce any provision of these Terms.

Exception: LinkWrangler's affiliates, officers, directors, employees, and agents are intended third-party beneficiaries of Section 10 (Limitation of Liability) and Section 11 (Indemnification).

17.8 Export Controls and Sanctions Compliance

Export Control Laws: You acknowledge that the Service may be subject to export control laws and regulations of Australia, the United States, and other jurisdictions. You agree to comply with all applicable export and import laws.

You represent and warrant that you are not:

  • Located in, or a resident or national of, any country subject to a government embargo or designated as a "terrorist supporting" country
  • Listed on any government list of prohibited or restricted parties (e.g., U.S. Treasury Department's list of Specially Designated Nationals, UN Security Council Sanctions List)

Prohibited Use: You may not use the Service if you are located in or a resident of a country subject to comprehensive sanctions, including but not limited to:

  • North Korea
  • Iran
  • Syria
  • Cuba
  • Crimea region of Ukraine
  • Any other jurisdiction subject to comprehensive sanctions

Customer Responsibility: You are solely responsible for compliance with export control and sanctions laws applicable to your use of the Service and your products. LinkWrangler is not responsible for ensuring your compliance.

17.9 Government Use

If you are a government entity or using the Service on behalf of a government:

  • The Service constitutes "Commercial Computer Software" and "Commercial Computer Software Documentation" as defined in applicable government regulations
  • Use, duplication, and disclosure are subject to the restrictions in these Terms
  • The Service is provided with "RESTRICTED RIGHTS" as defined in applicable regulations

17.10 Language

These Terms are drafted in English. If these Terms are translated into any other language, the English version prevails in the event of any conflict or inconsistency.

17.11 Notices

To LinkWrangler: All notices to LinkWrangler must be sent to:

  • Notices are effective upon receipt

To You: All notices to you will be sent to:

  • The email address associated with your account
  • Notices are deemed effective 24 hours after sending

Important Notices: For legal notices (termination, disputes, indemnification claims), we recommend using email with read receipt or registered mail to ensure delivery and proof of receipt.

17.12 Headings

Section and subsection headings are for convenience only and do not affect the interpretation of these Terms.

17.13 Interpretation

Unless the context requires otherwise:

  • "Including" means "including without limitation"
  • Singular includes plural and vice versa
  • "Or" is not exclusive (i.e., "A or B" means "A, B, or both")
  • References to "days" mean calendar days unless specified as business days

17.14 Survival

In addition to the provisions specified in Section 13.5, any provision of these Terms that by its nature should survive termination will survive, including but not limited to:

  • Intellectual property rights
  • Payment obligations
  • Disclaimers and limitations of liability
  • Indemnification obligations
  • Governing law and dispute resolution

17.15 Counterparts and Electronic Signatures

These Terms may be executed in counterparts, each of which is deemed an original and all of which together constitute one agreement. Electronic signatures and acceptance (including clicking "I agree" or continued use of the Service) have the same legal effect as handwritten signatures.
